Donald H. Layton "is Vice Chairman of J.P. Morgan Chase & Co., and a member of its three-person Office of the Chairman. He is head of its Chase-branded activities, which include the consumer, small business and middle market businesses; head of its wholesale operating services business, including custody, cash management and institutional trust, and oversees the technology activities of the firm. Mr. Layton also serves on JPMorgan Chase’s Executive Committee, the senior group that assists the Chairman in setting strategic direction for the firm, as well as the firm’s Risk and Capital Committees.

"Most recently, Mr. Layton was Co-Chief Executive Officer of J.P. Morgan, the investment bank of J.P. Morgan Chase & Co., sharing responsibility for overseeing the entire range of the investment bank’s activities. These include all capital markets, corporate advisory, market making, risk management and operating services products of the firm, which are offered to a global client base including large corporations, financial institutions and governments.

"Prior to the merger of Chase Manhattan and J.P. Morgan, Mr. Layton was responsible for Chase’s worldwide capital markets and trading activities, including foreign exchange, risk management products, emerging markets, and fixed income. Since 1999, he has also supervised Chase’s wholesale operating services business.

"Mr. Layton’s career began with Manufacturers Hanover Trust in 1975. He was elected a senior vice president of the firm in 1983 and held increasingly senior positions in its wholesale banking business. He was named a member of the bank’s Management Committee in 1990. At the time of the merger of Manufacturers Hanover Trust with Chemical Bank in 1992, he was in charge of all capital markets and trading activities, as well as supervising the international branch system; he continued these responsibilities for the newly merged firm. Mr. Layton was named a Vice Chairman of the bank in 1995. He continued to hold these responsibilities upon the merger of Chemical Bank with Chase Manhattan Bank in 1996.

"Mr. Layton is Chairman of the Board of CHIPCo, Inc., the main operating subsidiary of the New York Clearing House and serves as a Director on the Boards of MasterCard International, Private Export Funding Corporation, Foreign Policy Association and the International Executive Services Corps as well as the Financial Services Roundtable and BITS, its technology affiliate. Mr. Layton is also a member of the Federal Reserve Bank of New York International Advisory Committee, the International Monetary Fund Capital Markets Consultative Group and the Massachusetts Institute of Technology Visiting Committee for Economics.
