Howard L. Clark, Jr., is Vice Chairman of Lehman Brothers. From February, 1990 until February, 1993, Mr. Clark served as Chairman and Chief Executive Officer of Shearson Lehman Brothers, Inc. Prior to joining Shearson Lehman, Mr. Clark was Executive Vice President and Chief Financial Officer of American Express Company.

"Mr. Clark joined American Express in February, 1981 as Executive Vice President and became Chief Financial Officer in September, 1985. While at American Express, Mr. Clark had corporate responsibilities for comptroller, treasury, tax and audit functions as well as the corporate financial management development program. In addition, Mr. Clark's responsibilities included the management of the investment portfolios of American Express, American Express Travel Related Services Company, Amex Life Assurance Company and American Express Bank Ltd. Prior to joining American Express, Mr. Clark was a Senior Officer at the New York-based investment banking firm of Blyth Eastman Paine Webber Incorporated, where he was responsible for the management of Blyth's Corporate Finance department.

"Mr. Clark is a member of the Board of Directors of Lehman Brothers, Inc., Maytag Corporation, White Mountains Insurance Group, Ltd., and Walter Industries, Inc. Additionally, he serves on the Board of Trustees of Boston University, The Central Park Conservancy, and The Boy's Club of New York and is a member of the Board of Overseers of Columbia University Graduate School of Business. Mr. Clark was Chairman of the Securities Industry Association in 1994 and Chairman of The Bond Club of New York in 1998.

"A 1967 graduate of Boston University, Mr. Clark received his Master of Business Administration degree from Columbia University Graduate School of Business in 1968. Mr. Clark resides in Greenwich, Connecticut with his wife Karen.“ [1]
